Terms of Service

Last updated: November 6, 2026

These terms are an agreement between you and Spruce Technology, Inc. ("Spruce", "we", "us") for the use of Talli, including the web app at app.tallievents.com, the brand portal, public event pages, and the Talli app for iPhone (together, the "Service"). If you use the Service for an organization, you agree to these terms for that organization and confirm you have authority to do so. If you have a signed order or agreement with us, it controls where it differs from these terms.

Accounts

  • You must give accurate information when you create an account and keep it up to date.
  • Keep your password and sign-in links private. You are responsible for what happens under your account, including actions taken by AI assistants you connect.
  • The organization's owners decide who joins their team and with which role, and are responsible for removing people who should no longer have access.
  • Tell us promptly at legal@tallievents.com if you believe your account has been used without permission.

Your responsibilities for attendee data

As an organizer, you decide what information you collect from attendees, exhibitors and others through the Service and how you use it. You are the controller of that information, and we process it for you. You agree that:

  • You have a lawful basis, and any notices and consents the law requires, to collect the information and to use the Service with it, including emails you send and contact details you share with exhibitors.
  • You give attendees a way to reach you about their information, and you respond to their requests.
  • You mark sensitive questions, such as health or accessibility details, as private, and collect only what you need.
  • You handle exports and downloaded files securely and use them only for lawful purposes.
  • You honor unsubscribe requests and follow the laws that apply to the emails you send.

Acceptable use

You will not, and will not let others:

  • Break any law or anyone's rights, or collect information you are not allowed to collect.
  • Send spam or unsolicited bulk email, or email people who have unsubscribed.
  • Upload malware or content that is unlawful, deceptive, harassing or infringing.
  • Try to get around security, rate limits or access controls, or access another organization's data.
  • Overload or disrupt the Service, or scrape it by automated means other than the features and tools we provide.
  • Reverse engineer the Service except where the law allows it, or resell it without our written permission.

AI features and AI-generated content

The Service includes features that use AI models, such as Write with AI and automatic translation, and lets you connect your own AI assistant. AI output can be wrong, incomplete or unsuitable. You are responsible for reviewing AI-generated drafts and translations before you publish or send them, and for what you choose to use. AI assistants you connect act with your permissions, and your use of an assistant provider is also governed by your agreement with that provider.

The Talli app for iPhone

The iPhone app is provided for your team's use with your Talli account. You need a compatible iPhone and a supported app version, and we may require you to update the app to keep using it. Scans made without signal are kept on the device until they can be sent, so keep devices secure and let waiting scans sync before you reset or hand over a device. Your use of the app is also subject to Apple's terms for the service you install it through. Apple is not a party to these terms and is not responsible for the app.

Availability and changes to the Service

We work to keep the Service available and reliable, but we do not promise that it will be uninterrupted, error-free or available at any particular time, and we do not offer a service level agreement unless one is stated in your order. We may change, add or remove features. If we remove a feature you depend on in a significant way, we will try to give reasonable notice.

Fees

Fees for the Service, if any, are as agreed in your order or plan. Unless your order says otherwise, fees are not refundable, and you are responsible for applicable taxes.

Intellectual property

You keep all rights to the content and data you put into the Service ("Your Content"). You give us permission to host, copy, process, translate and display Your Content only as needed to provide and support the Service for you. We and our licensors own the Service, including its software, design and the Talli name and logo. These terms do not give you any rights to them other than to use the Service as allowed here.

Feedback

If you send us ideas or suggestions about the Service, we may use them without any obligation to you.

Suspension and termination

You may stop using the Service at any time. We may suspend or end your access if you break these terms, if your use creates a security or legal risk, or if fees are overdue, and we will tell you when we reasonably can. After termination, you can ask us to delete your organization's data, and we will do so unless the law requires us to keep it. Sections that by their nature should continue, such as fees owed, intellectual property, disclaimers, limitation of liability and indemnity, survive termination.

Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service, its AI output or its translations will be accurate or meet your needs.

Limitation of liability

To the extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible. Our total liability arising out of or relating to these terms or the Service is limited to the greater of the amounts you paid us for the Service in the 12 months before the claim arose and one hundred US dollars. Some places do not allow these limits, so they may not fully apply to you.

Indemnity

You will defend and indemnify Spruce against claims by third parties, and related losses and costs, arising from Your Content, your collection and use of attendee information, the emails you send, or your breach of these terms or the law.

Governing law

These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. The state and federal courts located in New York have exclusive jurisdiction over any dispute arising from these terms, and both parties agree to their jurisdiction.

Changes to these terms

We may update these terms from time to time. We will change the date at the top, and if a change is significant we will tell organizers by email or in the Service before it takes effect. If you keep using the Service after a change takes effect, you accept the updated terms.

General

You may not transfer these terms without our written consent. If any part of these terms cannot be enforced, the rest stays in effect. Not enforcing a right is not a waiver of it. Our Privacy Policy explains how we handle personal information.
